01User Eligibility
Services are available to entities and individuals able to enter into legally binding agreements in Switzerland and jurisdictions where LogicYApps operates. Clients must provide accurate information and have authority to contract on behalf of their organization when applicable.
Clients and users must meet applicable minimum age requirements under local law to enter into service agreements. Where services are contracted on behalf of an organization, the individual signing must have authority from that organization.
Services must be used for lawful purposes consistent with these terms. Users must not engage in activities that infringe third-party rights, violate laws, or compromise the security or integrity of LogicYApps systems and services.
LogicYApps may limit or refuse service in certain jurisdictions for compliance, export control, or operational reasons. Clients are responsible for ensuring that use of services complies with local laws, export controls, and sanctions.
02Accounts and Access
Where access credentials or accounts are provided to clients, account holders are responsible for maintaining the confidentiality of credentials and for activity under their accounts. Account access is provisioned according to agreed project terms and may be subject to additional security requirements.
Clients must provide accurate and current contact, billing, and project information. LogicYApps relies on these details to communicate and deliver contracted services. Changes should be communicated promptly to avoid disruption.
Clients must implement reasonable security measures to protect account credentials and data in client-controlled environments. LogicYApps maintains technical and organizational measures appropriate to its role as a service provider.
Account credentials, licenses, and subscriptions provided by LogicYApps are non-transferable without prior written consent. Transfers may require execution of assignment documents and verification of the recipient's eligibility.
If an account compromise or unauthorized access is suspected, clients must notify LogicYApps promptly and follow prescribed incident response steps. LogicYApps will assist as agreed in contracts and may take measures to suspend access to protect systems and data.
LogicYApps may suspend accounts or access where required for security, legal compliance, payment defaults, or material breach of these terms. Suspension may be temporary and is intended to mitigate risk and maintain service integrity.
03Scope of Services
LogicYApps provides tailored enterprise application development services including requirements analysis, system architecture, software engineering, integration with third-party systems, testing, deployment, and support. Specific deliverables, timelines, and acceptance criteria are set out in project statements of work or contracts.
Project scope, specifications, and timelines may be adjusted by agreement in writing. Change requests are documented and may affect fees and delivery schedules. Formal change control procedures apply to contracted engagements.
LogicYApps strives to maintain availability of hosted development environments and deployed solutions according to service level terms agreed in contracts. Availability commitments depend on infrastructure, third-party services, and client responsibilities.
04Conduct Rules
When interacting with LogicYApps personnel, systems, or community resources, users must follow professional conduct guidelines intended to maintain a secure and respectful working environment.
- Do not attempt to access systems or data without explicit authorization.
- Do not submit malicious code, viruses, or security exploits to LogicYApps systems or deliverables.
- Respect intellectual property and confidentiality obligations specified in agreements.
- Provide accurate information and cooperate in required validation and testing activities.
- Refrain from harassment or discriminatory conduct toward LogicYApps staff or other project participants.
- Follow agreed data handling and retention policies for project artifacts and production data.
- Report security incidents, vulnerabilities, or policy violations promptly to the designated contact.
05Client Content
Client Content means data, materials, and information provided by the client for use in project activities, testing, or deployment. Clients represent that they have rights to provide such content and that use by LogicYApps for project purposes is permitted.
Clients retain ownership of their content unless otherwise agreed in writing. LogicYApps does not claim ownership of client-supplied data, subject to rights granted in this agreement for processing and provisioning services.
Clients grant LogicYApps a limited, non-exclusive, royalty-free license to use, copy, transmit and modify Client Content as reasonably necessary to perform contracted services, including testing, deployment, monitoring, and backups.
Clients are responsible for ensuring Client Content complies with applicable laws, does not infringe third-party rights, and does not contain malicious code. LogicYApps may refuse to process or deploy content that poses a security or legal risk.
LogicYApps may remove or quarantine Client Content that violates terms or poses a security risk, following notification to the client when feasible. Retention and deletion follow contractual and legal requirements.
06Intellectual Property
Intellectual property rights in pre-existing materials and third-party components remain with their respective owners. LogicYApps retains rights in its pre-existing tools, frameworks, and methodologies; clients obtain rights to custom deliverables as specified in the project agreement.
- Clients shall not decompile, reverse engineer, or attempt to extract LogicYApps' proprietary source code provided as part of deliverables except as permitted by law or contract.
- Clients must not remove or alter proprietary notices or attributions included in deliverables or tooling.
- Use of third-party open source components is subject to their respective licenses, which may impose additional obligations on clients and LogicYApps.
07Paid Services
Paid services include custom development, managed hosting, premium support, and other billable activities. Fees, billing intervals, and payment terms are set out in statements of work or subscription agreements.
Pricing is based on agreed rates, project estimates, or subscription fees. Estimates are provided for planning and may be revised where scope changes occur. Detailed pricing schedules form part of the contractual documents.
Invoices are payable according to terms specified in the contract. Accepted payment methods and instructions are provided on invoices. Late payments may be subject to administrative actions consistent with contractual terms and applicable law.
Subscription services renew according to the agreed billing cycle. Termination or non-renewal must be effected according to the notice periods set out in the applicable agreement.
Refunds, if any, are handled according to the contract and applicable consumer protection rules. Adjustments may be made for partially delivered services or where specific refund provisions apply in a signed agreement.
Clients may cancel services in accordance with the terms in their agreement. Cancellation may result in final invoicing for work performed up to the effective cancellation date and any applicable wind-down fees described in the contract.
Prices and invoices may exclude taxes, duties, or similar charges. Clients are responsible for taxes applicable to their purchase unless the contract states otherwise. LogicYApps will comply with tax reporting and withholding obligations as required by law.
LogicYApps may update pricing for future services or renewals with prior notice as required by the contract. Existing fixed-price engagements remain subject to their agreed terms unless amended by mutual written agreement.
Non-payment may lead to suspension or termination of services in accordance with contractual provisions. LogicYApps may pursue remedies available under applicable law to recover outstanding amounts.
08Disclaimer
To the extent permitted by applicable law, LogicYApps provides services and deliverables on an 'as is' basis and disclaims implied warranties beyond those expressly stated in the contract. Clients should evaluate deliverables and acceptance criteria as specified in contractual documents.
09Limitation of Liability
Liability of LogicYApps for direct damages arising from its performance is limited to amounts specified in the governing agreement or, if not specified, to a reasonable multiple of fees paid for the relevant services. LogicYApps is not liable for indirect, incidental, or consequential losses to the extent permitted by law.
10Third-party Services
LogicYApps may integrate third-party services, components, and infrastructure into solutions. Use of third-party elements is governed by their respective terms and licenses; clients may need to accept those terms directly for ongoing use.
11Termination
Either party may terminate the contract in accordance with the termination clauses in the relevant agreement, including for material breach, insolvency, or prolonged non-performance. Termination procedures and obligations are set out in the contract.
On termination, parties must settle outstanding obligations, return or destroy confidential information as required, and arrange for orderly transition of services and data. Post-termination access to hosted environments may be time-limited and governed by data export provisions.
12Privacy and Data Protection
Processing of personal data in connection with services is governed by the privacy policy available on LogicYApps.pro. Contracts specify roles and responsibilities for data protection, security measures, and compliance with applicable data protection laws.
13Communications
Communications regarding service requests, incidents, and contractual matters should be directed to designated contacts in project documentation. Official notices may be sent to the business addresses or emails provided in agreements; receipt is governed by the notice provisions of the contract.
14Changes to Terms
LogicYApps may update standard terms to reflect legal or operational changes. For ongoing engagements, material changes affecting client obligations will be communicated with reasonable notice and may require mutual agreement for contract amendments.
15Governing Law
These terms and any contracts with LogicYApps are governed by and construed in accordance with the laws specified in the applicable agreement, typically the laws of Switzerland for services contracted through LogicYApps in Switzerland, subject to any mandatory conflict-of-law rules.
16Dispute Resolution
Parties should seek to resolve disputes by good faith negotiation. Where necessary, disputes may be resolved by binding arbitration or court proceedings as specified in the contract. The agreement will identify the forum and procedural rules for dispute resolution.
